Answers to your questions

Frequently asked questions about setting up an association

Didn't find an answer to your question? Our NGO lawyers will provide an individual consultation free of charge.

What is the minimum number of members needed to set up an association?
Under the Law on Associations of the Republic of Lithuania, an association must be founded by at least 3 natural or legal persons. After the association is registered in the Register of Legal Entities, the founders become its members. Later the number of members can grow without limit – new members are admitted in accordance with the procedure set out in the articles of association.
Can an association engage in commercial activities and earn a profit?
Yes, an association may carry out economic and commercial activities not prohibited by law (provide paid services, publish materials, organise training or events) if they relate to achieving the objectives set out in its articles of association. Any profit is not distributed to members – it is used for the association's activities.
How is the head of the association remunerated?
The remuneration of the head (chair or president) and the form of the contract concluded with them are set by the association's bodies – the general meeting of members or the board – in accordance with the articles. Taxes and social insurance (Sodra) contributions depend on the chosen form, so we recommend discussing this with our lawyers before incorporation.
How do an association's articles differ from those of a UAB or an MB?
The articles of an association focus mainly on community objectives, members’ rights and obligations, membership fees and democratic decision-making. Unlike a UAB or an MB, an association cannot distribute profit or assets to its members.
How does an association obtain support recipient status?
Support recipient status is granted by the Centre of Registers after assessing the statutory conditions: the articles of association must specify activities that benefit the public, and the association must meet the minimum criteria of a reliable taxpayer. If the association's objectives include activities that benefit the public, we will draft the articles so that the application for the status can be submitted immediately after registration. An association that only represents the interests of its members (e.g. companies) may not meet this criterion.
