Limited liability small partnership
Small partnership (MB) registration online
A small partnership (MB) is the most flexible and popular business form for start-ups, family businesses and sole entrepreneurs, with no €1,000 minimum capital requirement. We prepare all incorporation documents and articles of association and represent you at the Centre of Registers remotely within 3–5 business days.
No share capital required
Start operating with minimal investment and no bank deposit requirement (€0 initial contribution – you set the amount of capital yourself).
Limited liability
As a general rule, members are not liable with their personal assets for the partnership's obligations – the partnership is liable with its own assets.
Flexible management
An MB can be founded by 1 to 10 members. No need to hire a director – members can manage the partnership themselves or appoint a manager under a civil service contract.
Tax efficiency
Corporate income tax reliefs (0% for the first two years or a reduced 7% rate) and simple withdrawal of profit for personal needs or as an advance.

When you set up an MB with MyTax, you get more than routine form-filling – you get a complete legal and tax foundation. Our senior lawyer Alina Barkuvienė and her team personally oversee every stage of the registration to ensure compliance with the Law on Small Partnerships of the Republic of Lithuania.
Precise deed of incorporation and tailored articles of association
We tailor the MB articles of association and the deed of incorporation (or agreement) to the relationships between your members and your management structure. No vague or outdated wording.
Limited liability of members
An MB is a separate legal entity. Members are generally not liable with their personal assets for the partnership's obligations.

If the Centre of Registers has any comments on the documents, we make all corrections free of charge on the same day.
Legal comparison
How does an MB differ from a UAB and an IĮ?
Compare objectively the advantages and liabilities of a small partnership (MB), a private limited company (UAB) and an individual enterprise (IĮ) before deciding on the legal form of your future business. More on our company formation services page.

A clear process: 4 steps to an operating MB
We do everything remotely. You don't need to visit a notary or queue at the Centre of Registers.
1
Choosing a name
Provide three preferred names for the partnership in order of priority.
2
Document preparation
We prepare the deed of incorporation (or an agreement for several members), tailored MB articles of association and the decision on appointing a manager or holding a members' meeting.
3
Signing with an e-signature
All founders sign the prepared incorporation documents with a mobile e-signature (Mobile-ID or Smart-ID). No need to open an accumulation account.
4
Registration and STI
The Register of Legal Entities (JAR) registers the partnership, assigns a legal entity code and issues an electronic extract (ESI), and the initial declaration is submitted to the STI and Sodra.
