About Share Donation

Share donation is the process in which a shareholder transfers their shares to another person free of charge. Upon transferring the shares, the donor loses their rights to the companyโ€™s ownership and dividends, while the recipient becomes the new shareholder.

This procedure requires specific legal documents and registration changes to formalize the donation in compliance with the law. Share donation is often used to transfer company control to close family members or other individuals. It allows for a simple ownership transfer without financial compensation, making it an efficient solution for restructuring ownership.

Share Donation to Third Parties

When shares of a limited liability company (UAB) are sold, other shareholders have the priority to purchase them. However, this obligation can sometimes be circumvented through fictitious donation agreements. The Supreme Court of Lithuania has ruled that such transactions, particularly those between unrelated parties, are considered illegal if their purpose is to avoid the exercise of the preemptive right of shareholders.

Article 47 of the Law on Joint Stock Companies grants UAB shareholders the priority to purchase shares being sold, but this does not apply when shares are transferred via donation rather than sale. In cases of suspected fictitious donations, the court may recognize the donation agreement as invalid if it appears the donation was made for consideration or to bypass legal requirements.

Additionally, the Law on Joint Stock Companies allows the companyโ€™s articles of association to specify an alternative procedure for the sale of shares, which can bypass the obligation to first offer shares to other shareholders.
