What is Company Restructuring?
Company restructuring is the process of changing a legal entity’s legal form without liquidating the entity itself. During restructuring, only the legal structure is altered, and the participants (such as owners, shareholders, or members) remain liable for the obligations of the former legal entity for up to three years after the new legal form is registered with the Register of Legal Entities.
Restructuring is governed by the Civil Code of the Republic of Lithuania, along with specific laws and regulations that apply to various types of legal entities (e.g., companies, associations, institutions, organizations, etc.).
