Everything you need to know before taking over UAB „Raldena“
Does the company really have no debts or liabilities?
Yes. All the companies we sell are newly established and have not carried out any activity: turnover €0.00, no transactions, employees or debts. We confirm this with a written financial cleanliness guarantee.
What is included in the price?
A registered company with formed capital (MB – members' contributions, UAB – share capital), a registered office address in Vilnius, the transfer agreement, owners' resolutions, updated incorporation documents, JAR forms and filing with the Centre of Registers. Only the second and third member or shareholder are charged extra.
How long does the company takeover take?
We prepare the documents within 0–1 business days. Once signed by e-signature, they are filed with the Centre of Registers the same day, which registers the changes within 3–5 business days (1–2 business days on an expedited basis).
Is it necessary to visit a notary?
In most cases, no. The documents are signed with a qualified e-signature (Smart-ID or mobile signature). If you do not have an e-signature or the transaction requires a notarial form, we arrange the signing at a notary's office. The notary fee is charged separately.
Can I purchase a company while living abroad?
Yes, the entire procedure is carried out remotely. The transaction is concluded with a qualified e-signature, so there is no need to come to Lithuania, and we agree on the documents by email.
What documents do you need from me?
A valid passport or ID card and the details of the future owners and the director. We prepare all other documents.
Can I change the name, director and business activities?
We register the director and owners during the transfer. NACE (EVRK) activity codes are added free of charge. The name can be changed for an additional fee.
Can I keep the registered address, or do I need to change it?
An address in Vilnius without mail forwarding is provided together with the company once an accounting services agreement is signed. To use your own address, you need the premises owner's consent; we make the change at the Centre of Registers within 1 business day for an additional fee.
Will I be liable for the company's debts with my personal assets?
No. Both an MB and a UAB are limited liability legal entities: members and shareholders are not liable for the company's obligations with their personal assets (with rare exceptions provided by law).
Is the company a VAT payer and does it have a bank account?
The VAT status is shown in the company card. If the company is not a VAT payer, we submit the application to VMI within 2 business days. You open a bank account in your own name after the takeover – with Paysera, Revolut Business or a traditional bank
