Establishment of a branch in Lithuania

When establishing a branch or representative office in Lithuania, the document handling process must follow the procedures set by Lithuanian law. The governing body of the company, after deciding that a branch or representative office is necessary, must prepare the regulations outlining the competencies of the branch or representative office.

For foreign companies establishing a representative office or branch in Lithuania, a number of key documents must be prepared. These documents, along with their translation into Lithuanian, must be notarized and legalized in accordance with Lithuanian regulations.

Branch or representative office establishment documents

Required information:

For the founder (foreign legal entity):

1. Incorporation document, founding agreement, and articles of association (if these are separate documents) with all amendments, certified in the prescribed manner (notarized and legalized).
2. Extract from the register where the founder’s file is held, certified in the prescribed manner and legalized.
3. Document confirming the decision of the founder’s governing body regarding the establishment of a branch and/or representative office, designating the director and approving the regulations.
4. Annual financial statements that are prepared, audited, and disclosed according to the laws of the country where the company is established, certified in the prescribed manner.
5. Copies of passports of all foreign individuals authorized to act on behalf of the founder, notarized and legalized.

Translations of the above documents into Lithuanian must be provided. The translator’s signature must be notarized. Translation of passport copies is not required.
